Universal Yums operates this store and website. Shopify supplies the commerce platform through which the related information, content, features, tools, products, and customer services are offered (together, the “Services”). In these Terms, “we,” “us,” and “our” refer to Universal Yums. These Terms of Service, along with policies and notices referenced here, govern every visit to and use of the Services.

By visiting, interacting with, or purchasing through the Services, you agree to these Terms and our Privacy Policy. If you do not accept every term, do not access or use the Services. We may add features or tools, and they will also be governed by the current Terms.

Read the document before proceeding. A material change will be communicated as applicable law requires. Continued use after revised Terms are posted means the revised Terms are accepted.

SECTION 1 - ACCESS AND ACCOUNT

Acceptance represents that you are at least the age of majority where you live and that you permit any minor dependent under your responsibility to use the Services on devices you own, buy, or manage.

You may need account information, including an email address and billing, payment, and shipping details, to browse, transact, or receive parts of the Services. The information you supply must be accurate, current, and complete. You alone are responsible for account credentials and for activity carried out through the account; you may not sell, assign, license, or transfer it to someone else.

SECTION 2 - OUR PRODUCTS

We try to present products and services accurately in the online store, but a device or display setting can cause colors or appearance to differ from the physical item. We do not promise that the appearance or quality of a purchase will meet every expectation or match its on-screen display exactly.

Descriptions may be revised at any time without notice. We can discontinue an item, restrict quantities, or limit sales by person, region, or jurisdiction on a case-by-case basis. An offer is void where prohibited.

SECTION 3 - ORDERS

Submitting an order is an offer to buy, not our acceptance. Universal Yums may accept or decline it for any reason. Acceptance occurs only when we confirm the order after payment has been received and processed. Review details before submission because cancellation afterward may not be possible.

If we reject, cancel, or change an order, we will make a reasonable attempt to notify you using the email, billing address, or telephone provided with it. Returns and exchanges are governed exclusively by the Refund Policy. You represent that purchases are for personal or household use rather than commercial resale or export.

SECTION 4 - PRICES AND BILLING

Prices, discounts, and promotions can change without notice. The price effective when an order is placed and shown in the confirmation controls that transaction. Unless expressly included, taxes, shipping, handling, customs, and import charges are additional. Online pricing can differ from pricing in a physical or third-party store. Separate promotion terms prevail if they conflict with these Terms.

Keep account, purchase, payment, email, card-number, and expiration information complete and current. You warrant that card information is true, correct, and complete; that you are authorized to use it; that its issuer will honor the charge; and that you will pay the posted price plus applicable shipping, handling, and tax.

SECTION 5 - SHIPPING AND DELIVERY

Delivery dates and transit periods are estimates, not guarantees. Universal Yums is not liable for delay caused by a carrier, customs processing, or circumstances outside our control. Title and the risk of loss pass to you when the product is transferred to the carrier.

The Services—including trademarks, brands, text, displays, photographs, graphics, reviews, video, audio, and their design, selection, and arrangement—belong to Universal Yums, its affiliates, or licensors and are protected by United States and foreign patent, copyright, trademark, and other intellectual-property law.

You receive permission only for personal, noncommercial use. Without prior written consent, you must not reproduce, distribute, modify, make derivative works from, publicly display or perform, republish, download, store, or transmit Service material. Nothing here grants a patent, trademark, copyright, or other license belonging to Universal Yums, Shopify, or another party. Unauthorized use may violate federal or state law, and all rights not expressly granted are reserved.

Universal Yums names, logos, designs, slogans, and product or service names are trademarks of Universal Yums or its affiliates or licensors and require prior written permission for use. Shopify marks belong to Shopify; all remaining marks belong to their respective owners.

SECTION 7 - OPTIONAL TOOLS

Third-party customer tools may be made available through the Services even though we do not monitor, control, or contribute to them. Access is supplied “as is” and “as available,” without endorsement or any representation, warranty, or condition. We have no liability arising from their use.

You choose to use an optional tool at your own risk and should first review and approve the provider’s terms. Future features, tools, and resources added to the Services are also subject to these Terms.

SECTION 8 - THIRD-PARTY LINKS

Materials, hyperlinks, or embedded functions may lead to sites operated by third parties. We do not examine or warrant their content or accuracy. Leaving the Services to use them is at your risk.

Universal Yums is not liable for harm connected with third-party websites or with goods, services, resources, or content obtained from them. Review the third party’s policies before transacting and direct complaints, claims, concerns, and questions about its products or services to that party.

SECTION 9 - RELATIONSHIP WITH SHOPIFY

Universal Yums is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with Universal Yums. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Universal Yums, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Universal Yums.

SECTION 10 - PRIVACY POLICY

Personal information collected through the Services is governed by our Privacy Policy; some information is also governed by Shopify’s Privacy Policy. Using the Services acknowledges that you have read both.

Because Shopify hosts the Services, it processes information about access and use so it can provide and improve them. Submitted information is transmitted to Shopify and relevant third parties, potentially in countries other than your country of residence. SECTION 11 - FEEDBACK

When you submit, upload, post, email, or otherwise send an idea, suggestion, proposal, review, plan, or other content (“Feedback”), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, copy, modify, publish, distribute, and display it in any medium for any purpose, including commercial purposes. That license may be used to operate, provide, evaluate, improve, and promote the Services and to exercise our rights or perform our obligations.

You warrant that you own or control all necessary Feedback rights, have disclosed compensation or incentives, and will comply with these Terms. We need not keep Feedback confidential, compensate you, or answer it. We may, but are not required to, monitor, edit, or remove content we consider unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, otherwise objectionable, or infringing.

Feedback must not violate copyright, trademark, privacy, personality, proprietary, or other third-party rights; contain unlawful, abusive, libelous, or obscene material or malware; use a false email address; impersonate another person; or mislead anyone about its origin. You remain solely responsible for Feedback and its accuracy, and we accept no responsibility or liability for Feedback posted by you or anyone else.

SECTION 12 - ERRORS, INACCURACIES AND OMISSIONS

Service information can occasionally contain a typographical error, inaccuracy, or omission relating to a description, price, promotion, offer, shipping charge, transit estimate, or availability. At any time and without prior notice, including after an order is submitted, we may correct the information, update or change it, or cancel an affected order.

The Services may be used only lawfully. Direct or indirect use is prohibited when it: pursues an unlawful or malicious purpose; violates international, federal, provincial, state, or local law; infringes intellectual property; harasses, abuses, insults, harms, defames, slanders, disparages, or intimidates an employee or another person; transmits false or misleading information; knowingly sends, receives, uploads, downloads, uses, or reuses material that does not comply with these Terms; distributes junk mail, chain letters, spam, advertisements, promotions, or similar solicitations; impersonates a person or entity; or restricts another person’s enjoyment of the Services or exposes Universal Yums, Shopify, or users to harm or liability.

You also must not upload or send viruses or malicious code; reproduce, duplicate, copy, extract, sell, resell, or exploit any portion of the Services; collect or track another person’s information; spam, phish, pharm, or pretext; use a robot, spider, scraper, extraction or gathering technology, automated process, AI tool (including agentic AI), or manual means to access the Services; or interfere with, bypass, or evade security, authorization, robot-exclusion, or access-control measures. We may suspend, disable, or terminate an account without notice if any part of these Terms is violated.

SECTION 14 - AGENTS

14.1 These Agent Terms govern whenever you use, enable, permit, or cause an Agent to access, use, or interact with a Service. An “Agent” is software or a service that acts autonomously or semi-autonomously for, or under instructions from, a person or entity and can run on behalf of or through a person’s device without direct supervision.

We may end this agreement or suspend or terminate access to all or part of the Services at any time, in our sole discretion and without notice. Amounts owed through the termination date remain payable.

Provisions concerning Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver and Entire Agreement, Assignment, Governing Law, Privacy Policy, and any clause that by its nature should survive will continue after termination.

Information presented through the Services is supplied solely for general informational purposes. We make no warranty about its accuracy, completeness, or usefulness. WE DO NOT WARRANT THAT USE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. JURISDICTIONS THAT RESTRICT DISCLAIMERS OF IMPLIED OR OTHER WARRANTIES MAY NOT APPLY SOME OF THESE LIMITATIONS TO YOU.

SECTION 17 - LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT THE LAW PERMITS, UNIVERSAL YUMS; OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, PROVIDERS, AND LICENSORS; AND SHOPIFY AND ITS AFFILIATES WILL NOT BE LIABLE FOR AN INJURY, LOSS, CLAIM, OR DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGE. THIS INCLUDES LOST PROFIT, REVENUE, SAVINGS, OR DATA; REPLACEMENT COSTS; AND SIMILAR LOSS, WHETHER THE THEORY IS CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, ARISING FROM USE OF A SERVICE OR A PRODUCT OBTAINED THROUGH IT, AN ERROR OR OMISSION IN CONTENT, OR LOSS CAUSED BY CONTENT OR PRODUCTS POSTED, TRANSMITTED, OR MADE AVAILABLE, EVEN AFTER NOTICE THAT SUCH DAMAGE IS POSSIBLE.

SECTION 18 - INDEMNIFICATION

You will indemnify, defend, and hold harmless Universal Yums, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and providers against third-party claims, losses, liabilities, and damages, including reasonable attorneys’ fees, arising from your breach of these Terms or incorporated documents, violation of law or third-party rights, or access to and use of the Services.

We will notify you of an indemnifiable claim. Late notice relieves your obligation only to the extent it materially prejudices you. At your expense, we may control defense and settlement, including counsel selection, but will not accept a settlement imposing a nonmonetary duty on you without consent that you may not unreasonably withhold. You will cooperate and supply relevant documents.

SECTION 19 - SEVERABILITY

If a provision is held unlawful, void, or unenforceable, it remains enforceable to the fullest lawful extent, and the unenforceable portion is treated as severed. The validity and enforceability of the remaining provisions are unaffected.

SECTION 20 - WAIVER; ENTIRE AGREEMENT

A failure to exercise or enforce a right or provision is not a waiver. These Terms and the policies or operating rules posted for the Services form the entire agreement governing use and replace prior or contemporaneous proposals, communications, and agreements, written or oral, including earlier Terms. An ambiguity will not be construed against the drafting party.

SECTION 21 - ASSIGNMENT

You may not delegate, assign, or transfer this agreement or a right or obligation without our prior written approval; an attempted transfer without it is void. We may assign, delegate, or transfer these Terms and our rights and duties without your consent or notice.

SECTION 22 - GOVERNING LAW

These Terms and each separate agreement through which we provide Services are governed and construed under the federal and state or territorial courts in the jurisdiction where Universal Yums is headquartered. You and Universal Yums consent to venue and personal jurisdiction in those courts.

Headings exist only for convenience and do not limit or alter these Terms.

SECTION 24 - CHANGES TO TERMS OF SERVICE

The latest Terms are available on this page. We may update, replace, or change any part by posting an amendment to the website. You are responsible for checking periodically. Material changes will be communicated as required by law and take effect on the date stated in the notice. Continued use after a change is posted constitutes acceptance.
